All services are consultative, digital, and non-tangible in nature unless explicitly stated otherwise.

3. Payment Terms All services are strictly prepaid unless explicitly agreed upon in a physical contract with defined security clauses. Payments must be made via approved channels. Applicable Goods and Services Tax (GST) will be charged as per prevailing law. Non-payment or chargeback attempts shall be considered a material breach of contract and may result in immediate suspension of services.

4. Delivery and Fulfillment Service delivery timelines are estimated based on client cooperation and operational bandwidth. All deliverables are provided via digital means. Physical shipping, if applicable for merchandise or promotional materials, shall be communicated separately. Timely delivery is dependent on the client providing required information, access, and feedback.

5. Client Responsibilities Clients are expected to provide accurate, complete, and timely information required for the execution of services. The Company shall not be held liable for delays caused by inaccurate or incomplete data, unresponsive behavior, or third-party vendor issues associated with the client.

6. Intellectual Property All materials, documents, strategies, and digital content shared with clients remain the intellectual property of Black Harbour Innovations LLP unless otherwise agreed upon in writing. Clients are granted a non-transferable, non-exclusive, revocable license to use the deliverables strictly for internal business use.

7. Confidentiality Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement. This includes business strategies, client data, and any non-public documentation.

8. Refunds and Cancellations Refund and cancellation terms are governed strictly by the Refund and Cancellation Policy available on our website. By agreeing to these Terms and Conditions, you affirm that you have read and accepted the terms of that policy.

9. Limitation of Liability To the maximum extent permitted by law, Black Harbour Innovations LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services. Our total aggregate liability shall not exceed the amount paid by the client for the specific service in question.

10. Compliance and Legal Use Clients are responsible for ensuring that their use of our services complies with all applicable laws, regulations, and industry standards. We reserve the right to suspend or terminate services if we suspect misuse, fraud, or legal non-compliance.

11. Dispute Resolution Any dispute arising out of or relating to this Agreement shall be governed by Indian law and shall be subject to the exclusive jurisdiction of the courts located in Nashik, Maharashtra.

12. Modifications Black Harbour Innovations LLP reserves the right to modify these Terms and Conditions at any time. Updated terms shall be posted on our website with the revised effective date. Continued use of services constitutes acceptance of the modified terms.
